These Terms of Service (“Terms”) govern your access to and use of the Vegvyr website located at https://www.vegvyr.com/ (the “Site”). By accessing or using the Site, you agree to these Terms.
1) Who we are
The Site is operated by Vegvyr Enterprises (“Vegvyr,” “we,” “us”).

2) The Site is informational only
The Site is provided for general information about Vegvyr and our activities. Any descriptions of frameworks, engines, protocols, results, or metrics are provided for informational purposes and may be aggregated, high-level, and subject to confidentiality obligations.
3) No offer; no advice
Nothing on the Site constitutes:
investment advice, legal advice, tax advice, or financial advice;
an offer or solicitation to buy or sell securities, tokens, or any financial product; or
a commitment to provide services, enter a partnership, or accept any venture.
You should consult your own advisers before making decisions.
Advisory Nature of Services; No Obligation
Vegvyr provides high-level strategic advisory and acceleration frameworks. Our involvement, including any discussion of the $100M Protocol™, is strictly advisory in nature.
Accessing the Site, submitting an Access Request, or engaging in preliminary discussions does not create a partnership, joint venture, agency, or employment relationship, nor does it impose any legal obligation on Vegvyr to provide services, funding, or specific commercial outcomes. Any formal engagement or legal obligation between you and Vegvyr exists only if and when a separate, definitive written agreement is executed by both parties.
4) Access Requests; approvals; disclosures
Vegvyr may provide additional information (including partner disclosures, case studies, or materials) only through an Access Request process and only at our discretion. We may require identity verification, company verification, and/or execution of an NDA as a condition of receiving additional information. We may accept or reject any request for any reason.
5) Confidentiality and NDAs
Unless and until you and Vegvyr execute a written nondisclosure agreement (NDA), no confidentiality obligation is created by your use of the Site or by any message you send us.
Do not submit confidential information through the Site or by email unless we have executed an NDA.
If an NDA is executed, the NDA will govern confidentiality terms and will control in the event of conflict with these Terms.
6) Intellectual property
The Site and its contents—including text, graphics, trademarks, logos, designs, and any proprietary frameworks, methodologies, and named programs (including the $100M Protocol™, if referenced)—are owned by Vegvyr or its licensors and are protected by applicable intellectual property laws.
You may view and use the Site for your personal or internal business purposes. You may not:
copy, reproduce, republish, distribute, publicly display, or create derivative works from the Site content, except with our written permission;
use our trademarks without prior written consent; or
remove or alter proprietary notices.
7) Acceptable use
You agree not to:
use the Site in a way that violates applicable law or regulation;
attempt to gain unauthorized access to the Site or our systems;
interfere with or disrupt the Site (including via scraping, automated requests, or denial-of-service attacks);
misrepresent your identity, affiliation, or authority when making an Access Request.
We may restrict or block access to the Site at any time.
8) Third-party links
The Site may contain links to third-party websites. We do not control and are not responsible for third-party content, policies, or practices. Access third-party sites at your own risk.
9) Disclaimers
THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, VEGVYR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee the Site will be uninterrupted, secure, or error-free.
10) Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VEGVYR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VEGVYR’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED USD $100.
11) Indemnity
You agree to indemnify and hold harmless Vegvyr from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Site, your violation of these Terms, or your misuse of Site content.
12) Privacy
Our processing of personal data is described in our Privacy Policy. By using the Site, you acknowledge our Privacy Policy.
13) Changes
We may update these Terms at any time by posting the updated version on the Site. Your continued use of the Site after changes become effective means you accept the updated Terms.
14) Governing law; venue
These Terms are governed by the laws of the State of New York, without regard to conflict of law rules. You agree that any dispute arising out of or relating to these Terms or the Site will be brought in the state or federal courts located in New York County, New York, and you consent to their jurisdiction.
